1. Agreement

These Terms of Service (“Terms”) govern access to and use of Kraylo, a business software platform operated by Kraylo Ltd. By creating an account, accessing the web dashboard, using the iOS mobile application, or otherwise using the services, you agree to these Terms on behalf of yourself and, where applicable, your organisation.

2. Definitions

“Customer” means the organisation that subscribes to Kraylo. “User” means an individual authorised to access Kraylo. “Customer Data” means data submitted to Kraylo by or on behalf of a Customer. “Services” means the Kraylo website, web dashboard, iOS app and related support services.

3. Service Description

Kraylo provides software for managing business operations including inventory, stock, products, customers, vehicles, drivers, orders, banking records, approvals, weekly reports, dashboard reporting, audit logs and related administrative workflows. Kraylo is not a bank, payment processor, accounting adviser, logistics provider or professional services firm.

4. Eligibility and Authority

You must be at least 18 years old and have authority to accept these Terms on behalf of the Customer where you use Kraylo for an organisation. If you do not have authority, you must not use the Services.

5. Accounts and Access

Customers are responsible for managing authorised users, roles, permissions and account security. Users must keep login credentials confidential, use accurate information, and promptly notify Kraylo of suspected unauthorised access. Kraylo may rely on actions taken through an authenticated account as authorised by the Customer.

6. Customer Responsibilities

The Customer is responsible for the accuracy, legality and quality of Customer Data, the conduct of its users, compliance with employment and privacy laws, appropriate configuration of roles, review of operational outputs, and maintaining its own business records outside Kraylo where legally required.

7. Acceptable Use

You must not misuse Kraylo, attempt unauthorised access, interfere with security, upload malware, overload the service, reverse engineer the software except where permitted by law, infringe intellectual property rights, upload unlawful content, harass others, or use Kraylo for fraudulent, deceptive or illegal purposes.

8. Subscriptions, Fees and Payment

Fees, billing cycles, taxes, renewal terms and plan limits will be set out in the applicable order form, proposal, invoice, online checkout or written agreement. Unless stated otherwise, subscription fees are payable in advance and are non-refundable except where required by law or expressly agreed. Late payment may result in suspension or termination.

9. Customer Data

Customer retains ownership of Customer Data. Customer grants Kraylo a limited licence to host, process, transmit, display and use Customer Data solely to provide, secure, support and improve the Services, comply with law and enforce these Terms. Kraylo does not sell Customer Data.

10. Security and Access Controls

Kraylo will maintain reasonable technical and organisational measures designed to protect Customer Data. Customers remain responsible for securing their own devices, networks, passwords, user permissions and local exports. No internet service is guaranteed to be completely secure.

11. Mobile Application

The Kraylo iOS application may support offline data capture and synchronisation. Users are responsible for keeping devices secure, enabling operating system security updates and avoiding use on compromised devices. Offline changes may not be available in the dashboard until synchronisation completes.

12. Service Availability

Kraylo aims to provide reliable service but does not guarantee uninterrupted or error-free availability unless a separate written SLA applies. Maintenance, upgrades, internet disruptions, third-party outages and events beyond our control may affect availability.

13. Support

Support is provided through the channels made available by Kraylo. Support does not include legal, tax, accounting, banking, employment or regulatory advice. Customers remain responsible for business decisions made using platform information.

14. Changes to Services

Kraylo may modify, improve, replace or discontinue features to enhance security, performance or functionality. We will use reasonable efforts to avoid materially reducing core paid functionality during a subscription term without notice or suitable transition.

15. Intellectual Property

Kraylo and its licensors own all rights in the Services, software, source code, designs, documentation, trademarks, branding and related intellectual property. No rights are transferred except the limited right to use the Services under these Terms.

16. Feedback

If you provide suggestions, ideas or feedback, Kraylo may use them without restriction or compensation, provided we do not disclose your confidential information in doing so.

17. Confidentiality

Each party must protect the other's confidential information using reasonable care and use it only for purposes connected with the Services. Confidentiality obligations do not apply to information that is public, independently developed, lawfully received from a third party, or required to be disclosed by law.

18. Data Protection

Each party will comply with applicable data protection laws. Where Kraylo processes Customer Data as processor, the Kraylo Data Processing Agreement applies unless a separate signed data processing agreement is in place.

19. Suspension

Kraylo may suspend access where necessary to protect the Services, prevent harm, address security risks, respond to legal requirements, investigate suspected misuse, or address overdue payment. Where practical, Kraylo will give notice and an opportunity to resolve the issue.

20. Termination

Either party may terminate in accordance with the applicable order or written agreement. Kraylo may terminate for material breach, non-payment, unlawful use or security risk. Upon termination, access may end and Customer Data may be retained or deleted in accordance with the Privacy Policy, DPA and any agreed retention terms.

21. Disclaimers

The Services are provided “as is” and “as available” to the maximum extent permitted by law. Kraylo does not warrant that the Services will be uninterrupted, error-free or suitable for every business requirement. Operational reports should be reviewed by authorised personnel before business decisions are made.

22. Limitation of Liability

To the maximum extent permitted by law, Kraylo will not be liable for indirect, consequential, special or punitive damages, loss of profits, loss of revenue, loss of goodwill, business interruption, or loss caused by customer misuse, inaccurate Customer Data, third-party services or events beyond reasonable control. Nothing excludes liability that cannot legally be excluded.

23. Indemnity

Customer will indemnify Kraylo against claims, losses and expenses arising from Customer Data, misuse of the Services, breach of these Terms, unlawful conduct by users, or breach of third-party rights, except to the extent caused by Kraylo's breach.

24. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where applicable law requires otherwise.
